Terms and Conditions

Welcome to AnnoVox. These Terms and Conditions govern your access to and use of the AnnoVox website,
software platform, and related services. By accessing or using the services, you agree to be bound by these Terms.
If you do not agree to these Terms, you should not use the platform.
1. Overview of Services
AnnoVox provides a platform that enables organizations to capture operational knowledge from frontline employees
and subject matter experts and convert that knowledge into structured video-based training and documentation.
The platform may include tools for:
• Capturing real-world processes using mobile devices
• Annotating training content using voice and video
• Generating video-based SOPs and training modules
• Translating training content into multiple languages
• Organizing operational knowledge into structured training systems
AnnoVox may utilize artificial intelligence tools and human content specialists to assist customers in organizing and
enhancing training materials generated from customer content.
2. Customer Content and Responsibility
Customers may upload videos, audio recordings, images, documents, or other materials (“Customer Content”) to the platform.
Customer Content may include operational demonstrations, equipment procedures, training instructions, and other workplace materials.
The customer retains full ownership of all Customer Content.
The customer is solely responsible for:
• The accuracy of all content provided to AnnoVox
• The legality of all materials uploaded to the platform
• The review and approval of all training videos before deployment
• Ensuring training materials comply with workplace safety, regulatory, and operational requirements
Before distributing or deploying any video or training content produced through the platform, the customer must review and approve the materials.
Once training content is deployed within the customer’s organization, the customer assumes full responsibility for the content,
interpretation, and use of those materials.
AnnoVox provides tools to assist in creating training materials but does not verify operational accuracy or regulatory compliance.
AnnoVox accepts no responsibility or liability for the content, accuracy, interpretation, or operational use of any training materials
created using the platform.
3. Intellectual Property
All Customer Content remains the property of the customer.
Training videos, SOPs, and materials generated from Customer Content also remain the property of the customer unless otherwise agreed in writing.
The AnnoVox platform, including software, systems, algorithms, and workflows, remains the intellectual property of AnnoVox.
4. Artificial Intelligence and Model Training
AnnoVox may utilize artificial intelligence tools to assist with tasks such as video organization, editing, transcription, translation, and
formatting of training materials.
AnnoVox does not train AI models across multiple customer organizations.
Customer data, videos, and training materials are not used to train generalized models across other companies.
Each customer’s content is used only to assist in improving that customer’s environment, based solely on:
• That customer’s facilities
• That customer’s processes
• That customer’s subject matter experts
AnnoVox content specialists may assist customers in configuring and improving their organization’s AI-assisted training environment.
Customers may opt out of AI model training or AI-assisted optimization at any time by notifying AnnoVox.
5. Data Storage and Retention
AnnoVox stores customer videos and training materials on secure servers located within the United States.
All infrastructure is U.S.-based and includes:
• Redundant server architecture
• Hourly data backups
• Secure storage and access controls
Customer videos and content will be retained indefinitely while the customer maintains an active account.
Customers may request deletion or purging of their content from AnnoVox servers at any time. Upon such request, AnnoVox will remove
the requested content within a commercially reasonable timeframe.
6. Acceptable Use
Users agree not to use the platform to:
• Upload unlawful or infringing content
• Upload confidential information without authorization
• Violate intellectual property rights
• Attempt to interfere with or disrupt the platform
• Use the system for harassment, surveillance, or misuse of employee information
AnnoVox reserves the right to suspend accounts that violate these rules.
7. Data Security
AnnoVox uses commercially reasonable security measures to protect customer data.
Infrastructure includes U.S.-based hosting, redundant servers, secure storage systems, and regular data backups.
While AnnoVox maintains strong security practices, no digital system can guarantee absolute security, and customers are responsible
for determining the appropriateness of uploading sensitive operational information.
8. Fees and Payment
Certain services may require subscription fees or service agreements.
Unless otherwise agreed in writing:
• Fees are billed according to the subscription plan selected
• Payments are non-refundable once services have been delivered
• Accounts may be suspended for non-payment
Custom services may be governed by separate written agreements.
9. Limitation of Liability
To the fullest extent permitted by law, AnnoVox shall not be liable for any indirect, incidental, special, consequential, or punitive
damages, including but not limited to:
• Loss of profits
• Loss of business
• Loss of operational data
• Workplace incidents related to training content
AnnoVox provides a technology platform and content assistance services only.
Customers are solely responsible for reviewing, approving, and deploying training materials created using the platform.
Total liability arising out of use of the platform shall not exceed the total fees paid by the customer during the twelve months preceding the claim.
10. Disclaimer
AnnoVox does not guarantee operational results, regulatory compliance, workplace safety outcomes, or employee performance improvements.
The platform provides tools to help organizations capture and organize operational knowledge.
Customers must independently review and validate all materials before using them for training or operational purposes.
11. Termination
AnnoVox may suspend or terminate access to the platform if a user:
• Violates these Terms
• Uses the platform unlawfully
• Fails to meet payment obligations
Customers may terminate their use of the platform subject to any applicable subscription agreements.
12. Governing Law
These Terms shall be governed by the laws of the United States and the state in which AnnoVox is incorporated.
13. Updates to These Terms
AnnoVox may update these Terms periodically. Continued use of the platform after updates are posted constitutes acceptance of the updated Terms.
